Financing terms, ownership and control

Before accepting capital, understand how the proposed terms affect your position today and your options in the next financing.

MENADD works with founders on the commercial and financial consequences of investment terms. We bring the current ownership record, proposed financing and future scenarios into one analysis, with legal interpretation confirmed by the relevant counsel.

The focus is on companies operating or raising capital in UAE and MENA, including cross-border structures involving ADGM, DIFC and Luxembourg.

When this work is relevant

You are considering a term sheet and want to compare the terms beyond the headline valuation.

You have several SAFEs, convertible notes or equity promises that have not been modelled together.

You want to understand how this round and later rounds change founder ownership, decision rights and distributions on a sale.

The planned raise is smaller or later than expected, and you need to compare additional funding or bridge options.

You are facing a down round, new investor requirements or a structural change needed to complete a financing.

Financing terms

We compare the proposed commercial terms against existing instruments and agreed scenarios. The analysis can cover valuation and conversion mechanics, option pools, investor preferences, anti-dilution and funding tranches.

You receive a commercial issues memo explaining the consequences, the assumptions that need confirmation and the points to discuss with the investor and counsel. Where there are competing proposals, the comparison shows how each affects the agreed outcomes.

Ownership and control

We model the current round and the agreed later financing scenarios together. The ownership model shows issued and fully diluted positions, instrument conversions and option-pool changes.

A separate control map identifies board appointments, voting thresholds and decisions requiring investor consent. It distinguishes documented rights from questions awaiting legal confirmation.

Exit distribution scenarios show who receives the proceeds at different sale values, using the preference terms in the documents. They are calculations under stated assumptions, not forecasts of an exit.

The next financing

We compare the financing paths available under the agreed assumptions: the planned round, a smaller raise, delayed funding, an additional bridge or a lower-priced round.

The output identifies the capital required to reach the agreed milestone, the dilution and approval implications, and the circumstances in which the next financing process should begin.

The action plan names the decisions, document work and counterparties needed to pursue the selected path. It does not treat an investor's possible future participation as committed funding.

Structure and execution

For a cross-border company, we also examine the entity receiving investment and the ownership chain, employee equity and relevant intercompany arrangements.

Where a change is needed, we define the business requirement and coordinate the work with counsel and corporate services providers in the relevant jurisdictions. Any legal drafting, filing or restructuring is identified as a separate responsibility and agreed scope.

What you receive

The written scope selects the outputs needed for your decision:

Financial forecasts, unit-economics presentation and investor materials can be included where needed to support the financing case. Their scope is agreed separately rather than assumed in every engagement.

A focused assignment: Financing Terms Review

For a company with a reliable ownership record, this assignment covers one proposed term sheet, up to three existing convertible instruments, one option-pool arrangement, one subsequent financing scenario and three exit values.

You receive an editable model, a commercial issues memo, a map of documented control terms and open legal questions, and a 30-minute walkthrough. One consolidated correction of source facts is included.

We confirm eligibility, the fixed fee and delivery date before you commit. Availability is confirmed before acceptance.

Reconstruction, additional proposals, restructuring and continuing negotiation support are separately scoped work. You can commission this review on its own or agree a broader project directly.

How an engagement starts

  1. A short email or 15-minute scoping conversation. Tell us the decision, instruments and deadline. We check whether the focused review fits. Confidential files are shared through an agreed channel.
  2. The scope, fee and delivery date in writing. For the focused review, we confirm the fixed fee, input checklist, availability and terms before payment. A broader assignment receives its own scope. The client and the commercial position the work supports are identified.
  3. Confirm and pay for the assignment. We review the agreed files and prepare the outputs. Missing evidence and legal questions remain visible.
  4. A results meeting. We walk through consequences and priorities. Further revisions, negotiations or later financing are agreed as additional work where needed.

Scope and fees

The focused review has a fixed fee for its stated scope. Ask for the current fee and available delivery date before commissioning work. There is no compulsory preliminary purchase before a broader engagement.

Broader fees depend on the instruments and entities involved, the condition of the source records, the number of proposals and scenarios, and the support needed during negotiations.

A focused term-sheet engagement and a reconstruction of several rounds are different assignments. The quote distinguishes them and identifies any external adviser fees.

A paid preliminary review is proposed only when it has a defined standalone output. It is not a compulsory step before an execution engagement.

MENADD provides commercial and financial analysis and coordination. Legal interpretation, transaction drafting and local formalities are handled by the relevant advisers. The engagement does not promise financing, a valuation, investor introductions or a guaranteed level of founder control.
